Provider: ZalkiAI™ LLC ("ZalkiAI™ LLC", "we", "us", or "our")

These Terms of Service ("Terms") govern your access to and use of the ZalkiAI™ Cockpit application, websites, APIs, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Who We Are

ZalkiAI™ Cockpit is a personal operating system and productivity assistant that helps you organize tasks, events, finances, habits, family logistics, and other aspects of your life. It may include AI-powered features that analyze your data and generate suggestions, summaries, or other content.

ZalkiAI™ does not provide financial, legal, tax, medical, or mental health advice. See Section 10 for important limitations.

2. Eligibility

You may use the Service only if:

• You are at least 18 years old (or the age of majority in your jurisdiction); and
• You are capable of forming a binding contract with ZalkiAI™ LLC; and
• You are not prohibited from using the Service under applicable law.

If you use the Service on behalf of another person or entity, you represent that you are authorized to accept these Terms on their behalf.

3. Account Registration and Security

To use certain features, you must create an account and provide accurate, current information (such as your name and email).

You agree to:

• Maintain the security of your login credentials.
• Not share your account with others or allow unauthorized access.
• Notify us promptly at support@zalkiai.com if you suspect unauthorized use of your account.

You are responsible for all activity occurring under your account.

4. Subscription Plans, Billing, and Payments

4.1 Subscription Plans

ZalkiAI™ offers trial and paid subscription access through Individual, Duo, and Family plans. Features, usage limits, and access rights may vary between plans.

We may change the available plans, features, or pricing from time to time, in which case we will provide notice as required by applicable law.

4.2 Billing and Renewal

Paid plans are billed through a third-party payment processor (such as Stripe) ("Billing Provider"). By subscribing to a paid plan, you authorize us and our Billing Provider to charge your chosen payment method for the applicable fees.

Unless otherwise stated:

• Paid subscriptions automatically renew at the end of each billing period; and
• You will be charged in advance for each renewal.

You can manage or cancel your subscription at any time via the Service or via the Billing Provider's customer portal, subject to our Payments & Subscription / Refund Policy (which is incorporated into these Terms by reference).

4.3 Taxes

Fees are exclusive of any taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of such taxes, except where we are required to collect them.

5. Use of the Service

Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to hack, disable, interfere with, or disrupt the Service or its security.
• Reverse engineer, decompile, or attempt to derive source code from the Service, except where permitted by law.
• Use the Service to train, benchmark, or build competing AI models or products, unless expressly permitted in writing.

We reserve the right to suspend or terminate your access for violations of these Terms or misuse of the Service.

6. Acceptable Use and Resource Protection

You must not use the Service to:

• Harass, threaten, or harm others.
• Generate or distribute content that is hateful, abusive, fraudulent, sexually explicit involving minors, or otherwise illegal.
• Upload or share malicious code, malware, or content that could damage systems or data.
• Infringe or violate others' intellectual property rights, privacy, or publicity rights.
• Attempt to bypass content or safety filters in bad faith.
• Use automated, scripted, robotic, or programmatic methods to access or interact with the Service unless expressly authorized by ZalkiAI™.
• Generate unusually high, repetitive, or excessive numbers of searches, requests, API calls, uploads, downloads, AI requests, or other actions that are inconsistent with normal good-faith use of the Service.
• Use the Service in a manner that materially interferes with its operation or availability, degrades the experience of other users, or creates an unreasonable infrastructure, processing, storage, third-party service, or other operating cost.
• Circumvent or attempt to circumvent usage limits, rate limits, subscription restrictions, access controls, or other technical safeguards.
• Deliberately exploit a feature, integration, trial, subscription, pricing structure, or technical limitation in a manner inconsistent with its intended purpose.

We may use reasonable technical measures, including usage limits and rate limits, to protect the security, availability, performance, and reasonable operating cost of the Service.

If we reasonably determine that use of the Service is abusive, excessive, automated, fraudulent, harmful, or creates an unreasonable operational or financial burden, we may take proportionate action. This may include limiting or throttling particular features, temporarily restricting access, requiring the user to contact us, suspending the account, or, in serious or repeated cases, terminating the account.

Where reasonably practical, we will attempt to provide notice and an opportunity to correct the activity before suspending or terminating an account. We may take immediate action without prior notice when reasonably necessary to protect the security, integrity, availability, or operation of the Service, protect other users, prevent fraud or abuse, or avoid significant or unreasonable cost.

Normal good-faith use of the Service, including periods of legitimately higher activity, will not by itself constitute a violation of this section.

We may remove or restrict access to content and/or accounts that we reasonably believe violate these rules.

7. User Content and Data

7.1 Your Content

"User Content" means any data, text, files, notes, tasks, events, budgets, preferences, documents, or other material that you input, upload, or create using the Service.

You retain ownership of your User Content. These Terms do not transfer ownership of your data to us.

You grant ZalkiAI™ LLC a non-exclusive, worldwide, royalty-free license to host, store, process, display, and use your User Content solely:

• To provide, maintain, and improve the Service;
• To personalize your experience;
• To troubleshoot and secure the Service; and
• As otherwise described in our Privacy Policy.

We do not claim ownership of your ideas, worlds, or IP created outside the Service. However, you are responsible for ensuring that your use of AI-generated output does not infringe third-party rights.

7.2 Data Backups and Retention

We use commercially reasonable efforts to maintain backups and protect your data, but we cannot guarantee that no loss or corruption will ever occur. You are encouraged to regularly export or back up important information.

If you close your account, we may retain certain data for a period of time as permitted or required by law, or as described in our Privacy Policy.

8. AI-Generated Content

The Service may use AI models to generate text, summaries, suggestions, or other output ("AI Output").

You understand and agree that:

• AI Output may be inaccurate, incomplete, or out-of-date.
• AI Output may reflect biases or limitations of the underlying models.
• You should not rely solely on AI Output for important decisions, especially in financial, medical, legal, tax, or safety-critical contexts.

Subject to these Terms and applicable law, you may generally use AI Output for your personal or business purposes. However:

• You are responsible for reviewing AI Output and ensuring it is appropriate for your use.
• You are responsible for avoiding infringement of third-party intellectual property when using, publishing, or commercializing AI Output.

9. Third-Party Services and Integrations

The Service may integrate with third-party products or services (e.g., Google Calendar, email providers, payment processors, analytics tools).

• Your use of third-party services is governed by their own terms and policies, not ours.
• We are not responsible for third-party services, their availability, or their handling of your data.
• We may add, modify, or remove integrations at any time.

10. No Financial, Legal, Medical, or Professional Advice

ZalkiAI™ Cockpit is an organizational and informational tool. It is not a licensed professional service.

You acknowledge and agree that:

• The Service and AI Output do not constitute financial, investment, tax, legal, regulatory, medical, psychological, or mental health advice.
• We do not guarantee outcomes or results based on the information or AI Output provided.
• You are solely responsible for your decisions.
• You should consult appropriate human professionals before making significant financial, legal, medical, or other important decisions.

To the fullest extent permitted by law, ZalkiAI™ LLC disclaims any responsibility or liability arising from your reliance on AI Output or other information provided by the Service.

11. Intellectual Property

Except for User Content, all rights, title, and interest in and to the Service—including software, design, features, graphics, logos, trademarks, and documentation—are owned by ZalkiAI™ LLC or its licensors.

You may not:

• Copy, modify, distribute, sell, or lease any part of the Service;
• Use our trademarks, logos, or branding without prior written permission.

12. Changes to the Service

We may modify, suspend, or discontinue all or part of the Service at any time, including features, plans, or pricing.

If we make material changes that significantly impact your use, we will provide notice (e.g., via email or in-app notification) and, where required by law, an opportunity to cancel before changes take effect.

13. Termination

You may stop using the Service at any time and may request account closure through the app or by contacting us at support@zalkiai.com.

We may limit, suspend, or terminate your access if:

• You violate these Terms or applicable law;
• Your use of the Service is abusive, excessive, fraudulent, automated without authorization, or creates an unreasonable operational or financial burden;
• Your actions create risk or possible legal exposure for us or other users; or
• We discontinue or materially alter the Service.

Where reasonably practical, we will provide notice before suspension or termination. We may take immediate action where reasonably necessary to protect the Service, other users, third parties, or ZalkiAI™ LLC, as further described in Section 6.

Upon termination, your right to use the Service will stop immediately. Some provisions of these Terms will survive termination.

14. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied.

We specifically disclaim:

• Any implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Any warranty that the Service will be uninterrupted, error-free, secure, or free of harmful components;
• Any warranty regarding the accuracy, reliability, or completeness of AI Output or other information.

You use the Service at your own risk.

15. Limitation of Liability

To the fullest extent permitted by law:

• ZalkiAI™ LLC and its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
• Our total liability for any claim arising out of or relating to the Service or these Terms shall not exceed the greater of:
  • (a) the amount you paid to us for the Service in the three (3) months preceding the event giving rise to the claim; or
  • (b) USD $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless ZalkiAI™ LLC, its owners, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of the Service;
• Your User Content;
• Your violation of these Terms;
• Your violation of any law or third-party rights.

17. Governing Law and Dispute Resolution

These Terms and your use of the Service are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles.

Nothing in these Terms limits any non-waivable consumer protection rights you may have under the laws of the state where you live. Subject to those rights, any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Florida, and you consent to the jurisdiction and venue of such courts.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the "Effective Date" at the top and provide notice of material changes.

If you continue using the Service after the updated Terms take effect, you agree to be bound by the revised Terms.
